Mouldlife Limited – Terms and Conditions of Trading

These Terms and Conditions govern the sale of products and services by Mouldlife Limited. Please read them carefully before placing an order.

Special terms apply to Consumers (individuals not acting for business purposes). These are outlined in Section 11.

1. Definitions

For the purposes of these Terms and Conditions:

Business Customer
A customer purchasing goods or services for business purposes.

Consumer
An individual not acting for the purposes of a business or profession.

Mouldlife Ltd
Mouldlife Limited, referred to as “we”, “us”, or “our”.

Catalogue
The catalogue of products and services offered by Mouldlife Ltd.

Force Majeure
Events outside our reasonable control that affect our ability to perform obligations, including but not limited to:

  • Government regulations

  • Fire or flood

  • Natural disasters

  • Industrial disputes affecting third parties

Normal Working Hours
9:00am – 5:00pm on a Working Day.

Working Days
Monday to Friday, excluding UK Bank and Public Holidays.

2. Applicability

These Terms and Conditions:

  • Apply to all contracts between Mouldlife Ltd and the Customer.

  • Take precedence over any other terms proposed by the Customer.

  • Override any terms included in Customer documentation unless:

    • The Customer specifically states in writing that they wish their terms to apply, and

    • Mouldlife Ltd formally acknowledges this in writing.

3. Prices

  • Prices are those current at the date of dispatch of the ordered products or date of service provision.

  • Non-stocked products will be sold at the price quoted by Mouldlife Ltd.

  • All prices exclude VAT, which will be added at the applicable rate at the time of dispatch.

  • Mouldlife Ltd reserves the right to change prices without prior notice.

4. Ordering

4.1 Contract Terms

All contracts of sale incorporate these Terms and Conditions, which take precedence over any other terms supplied by the Customer.

4.2 Order Cancellation

  • Business customers: Order cancellations are generally not accepted as many orders are dispatched on the same day.

  • Consumers: Cancellations are permitted in accordance with the Consumer Protection (Distance Selling) Regulations 2000.

These terms do not affect a Consumer’s statutory rights to reject faulty goods.

4.3 Right to Decline Orders

Mouldlife Ltd reserves the right to decline to trade with any individual or company.

We may also decline any order (even after payment) by notifying the Customer via:

  • Telephone

  • Email

  • Fax

4.4 Call Monitoring

Inbound and outbound calls and electronic communications may be monitored or recorded for training purposes.

4.5 Privacy Policy

Our privacy policy applies to all orders and can be supplied upon request.

4.6 Customer Responsibilities

When placing an order, you confirm that:

  • All information provided is accurate.

  • The payment card used belongs to you or your company.

  • You are authorised to use the card.

  • Sufficient funds or credit are available.

Mouldlife Ltd may validate card details before processing an order.

5. Delivery, Title and Risk

Delivery Times

Mouldlife Ltd will use reasonable efforts to dispatch goods by the agreed date but cannot guarantee delivery times due to factors beyond our control, such as:

  • Courier delays

  • Manufacturer lead times

Customers will be notified if delays occur.

Consumers may cancel orders if revised delivery dates are unacceptable.

Business Customer Delays

If goods cannot be delivered within 30 days of the agreed delivery date, Business Customers may cancel the order and receive a refund, provided written notice is given before dispatch.

Damaged or Missing Goods

Business Customers:
Must notify Mouldlife Ltd within 48 hours of delivery.

Consumers:
Must notify us within 7 days of delivery.

Risk and Ownership

  • Risk transfers to the Customer upon delivery.

  • Ownership remains with Mouldlife Ltd until payment is received in full.

Proof of Delivery

Customers may request proof of delivery within 28 days of dispatch.

At delivery, Customers must:

  • Check the number of packages

  • Inspect packaging for damage

  • Note discrepancies on the delivery note

Failure to record visible damage or shortages may invalidate claims.

Courier Responsibility

Once goods have been collected by the nominated courier or delivery service, they are considered to be in the possession of the courier and no longer under the control of Mouldlife Ltd.

While Mouldlife Ltd will use reasonable endeavours to ensure that orders are dispatched promptly, we shall not be liable for any delays in delivery caused by the courier or other circumstances beyond our reasonable control once the goods have been collected.

Mouldlife Ltd shall also not be responsible for the manner in which goods are delivered by the courier, including but not limited to parcels being left unattended, left in a safe place, or delivered to a neighbouring property where this forms part of the courier’s delivery procedures.

Customers are responsible for ensuring that an appropriate delivery location is available to receive the goods. Any issues relating to the delivery of a parcel after it has been collected by the courier should be raised directly with the courier service.

6. Payment

Payment Terms

  • Payment is due upon shipment, unless credit terms have been agreed.

  • Standard credit terms require payment within 30 days of invoice date.

Late Payment

If payment is overdue:

  • Interest will be charged at 3% above the Lloyds Bank PLC base lending rate.

  • A £50 administration fee will be applied to each overdue invoice.

7. Product Specifications

Mouldlife Ltd makes every effort to ensure products match advertised specifications. However:

  • Minor variations may occur due to manufacturer changes.

  • Customers must inspect goods immediately upon delivery.

Any defects, damage, or shortages must be reported within 7 days.

Returns require written approval from Mouldlife Ltd and may incur a 20% handling fee.

Mouldlife Ltd's liability is limited to the invoice price of the defective goods.

8. Warranties and Returns

Mouldlife Ltd is committed to providing high-quality products and service.

Business Customer Returns

Goods are not sold on a trial basis. Customers should verify suitability before ordering.

Some products supplied under special manufacturer pricing cannot be cancelled or returned unless defective.

Returning Unwanted Goods

Returns for credit may be accepted at our discretion if:

  • Approved in writing

  • Returned within 14 days

  • Unopened and in resaleable condition

Returns may incur a 20% handling fee or £20 (whichever is greater).

Defective Goods

Defective goods returned within 14 days may be:

  • Replaced

  • Refunded

All returns must include an Authorised Return (AR) Number, obtainable by contacting:

Customers are responsible for:

  • Safe packaging

  • Return postage

  • Insuring returned goods

Products found not to be defective will be returned at the customer’s expense.

9. Mouldlife Ltd Liability

For Business Customers, Mouldlife Ltd is not liable for:

  • Loss of profits

  • Loss of business

  • Loss of data

  • Damage to trading relationships

  • Other indirect or consequential losses

Total liability is limited to the invoice value of the order.

Nothing in these terms limits liability for death or personal injury caused by negligence.

10. Force Majeure

Mouldlife Ltd is not liable for delays or failure to perform contractual obligations due to events beyond reasonable control, including:

  • Strikes or labour disputes

  • War or civil unrest

  • Natural disasters

  • Machinery breakdown

  • Supply chain disruption

11. Consumer Protection (Distance Selling) Regulations 2000

Consumers purchasing goods via:

  • Telephone

  • Website

  • Mail order

may cancel orders within 7 working days after delivery.

Consumers are responsible for return costs and must take reasonable care of goods until returned.

12. Errors and Omissions

Mouldlife Ltd makes every effort to ensure pricing and descriptions are accurate.

If a manifest error occurs (e.g., pricing more than 10% lower than intended):

  • Mouldlife Ltd may cancel the contract.

  • Customers will receive a full refund of payments made.

Alternatively, customers may proceed with the purchase by paying the corrected price.

13. General

  • These terms do not affect Consumer statutory rights.

  • Invalid provisions do not affect the remainder of the agreement.

  • Waivers or variations must be in writing.

  • Notices must be sent by post, fax, or email.

  • These Terms are governed by the laws of England and Wales.

  • The parties submit to the jurisdiction of the English courts.

  • Telephone calls may be recorded for training and quality purposes.
